Referral Program Terms and Conditions

These Referral Program Terms and Conditions (the “Referral Terms”) form part of and are incorporated into the general Terms and Conditions of APX Inc. and any and all of its subsidiaries (“APX Lending”, “APX”, “we”, “our”, or “us”).

Participation in the APX Lending Referral Program (the “Program”) constitutes acceptance of these Referral Terms. If you do not agree, you must not participate in the Program.

The Program is available to existing APX Lending clients or approved partners who have received an invitation from APX Lending to participate (each a “Referrer”).

A Referee means an individual or business entity who is referred to APX Lending by a Referrer via a unique referral link or code (“Referral Link”).

A New Client is a Referee who:
-Applies for and is approved for a crypto-backed loan through a valid Referral Link;
-Has an active loan from APX Lending deployed to them; and
-Has not previously held an APX Lending account, loan, or relationship.

Existing clients or previously referred users do not qualify as New Clients.

a. Amount. Referrers are entitled to receive a referral bonus equal up to 0.5% of the total loan amount deployed to each New Client, up to a maximum of $10,000 per referred person.
b. Payment Threshold. Referral payments will accrue until total earned bonuses exceed $1,000, at which point payment will be released.
c. Payment Timing. Payments will be issued within thirty (30) calendar days following the end of each calendar month in which a Payment Threshold has been reached.
d. Payment Method. Payments will be made by electronic funds transfer or, in stablecoin at APX Lending's sole discretion.
e. Ownership of Relationship. Upon onboarding, each New Client becomes a client of APX Lending. The Referrer shall have no ownership or ongoing rights with respect to the client relationship.

The Referrer shall:
1. Provide referrals in good faith and in compliance with all applicable laws and regulations;
2. Only communicate information about APX Lending that has been approved or provided by APX Lending;
3. Not make any representations, warranties, or guarantees regarding APX Lending’s products or services beyond those expressly authorized;
4. Comply with all applicable electronic communication and anti-spam laws, including Canada’s Anti-Spam Legislation (CASL) and the U.S. CAN-SPAM Act, by sending communications only to recipients who have provided consent or where legally permitted; and
5. Not act as an agent, employee, or representative of APX Lending or hold themselves out as such.
Any violation of these obligations may result in disqualification from the Program and forfeiture of unpaid bonuses.

All information provided by APX Lending to the Referrer, including but not limited to Program details, client data, and payment information, is confidential and must not be disclosed to any third party without prior written consent from APX Lending.

By participating in the Program, both Referrers and Referees consent to the collection, use, and disclosure of personal information for the purposes of administering the Program, verifying eligibility, and processing payments, in accordance with APX Lending’s Privacy Policy available at www.apxlending.com/privacy-policy

Referrers participate in the Program as independent contractors. Nothing in these Referral Terms shall be construed to create an employment, agency, fiduciary, or partnership relationship between the Referrer and APX Lending.

Referrers are solely responsible for their own operations, tax filings, insurance, and any applicable business licensing or registration requirements.

Referrers are solely responsible for any and all tax obligations arising from payments received under the Program.

APX Lending will not reimburse any expenses incurred by the Referrer, including marketing or promotional expenses.

APX Lending reserves the right, without prior notice, to modify, suspend, or terminate the Program or any Referrer’s participation at any time.

Either party may terminate participation immediately upon written notice for any reason.

Bonuses obtained through fraudulent, misleading, or non-compliant activities may be withheld, cancelled, or recovered by APX Lending.

The Referrer shall indemnify and hold harmless APX Lending, its affiliates, and their respective officers, directors, employees, and agents from and against all losses, damages, liabilities, and expenses (including reasonable legal fees) arising out of or related to:
-Any breach of these Referral Terms by the Referrer; or
-Any negligent, unlawful, or unauthorized act or omission by the Referrer.

APX Lending’s total liability to any Referrer under the Program shall not exceed the total amount of referral bonuses actually paid to that Referrer.

These Referral Terms and the Program shall be governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein.

Any dispute, controversy, or claim arising from or relating to these Referral Terms shall be resolved by binding arbitration administered by the ADR Institute of Canada, with the place of arbitration being Toronto, Ontario.

a. APX Lending reserves the right to interpret and apply these Referral Terms in its sole discretion.
b. If any provision of these Referral Terms is held invalid, the remaining provisions shall continue in full force and effect.
c. These Referral Terms constitute the entire agreement between the parties regarding the Referral Program and supersede any prior communications or understandings, whether written or oral.

By sharing a Referral Link, or otherwise participating in the Program, you confirm that you have read, understood, and agree to be bound by these Referral Terms.
